SGTC has, through corporate governance audits, restructured banks and other financial institutions and has managed notable capital market issues as an Issuing House, Stockbrokerage Firm and as a Financial Advisor. Examples are:

 

Banks Corporate Governance Audits (BCGA)

Since 1996 to the present time, SGTC has led teams of highly qualified professionals (bankers, lawyers, chartered accountants, economists and information & communications technology-ICT-professionals) in restructuring a number of banks through comprehensive governance audits. Areas covered include details of banking operations with ICT support; risk assets management and control, realignment of shareholders, Board, Management and Staff structures with the mission and core competence of the banks; streamlining of domestic and foreign treasury operations with both lending policy and control on the one hand, and international banking and FX operations on the other. Other areas covered include capacity building through human capital development and management, financial systems and control, international correspondent banking, legal and regulatory environment, property and other fixed and immovable assets, corporate affairs and investors/community relations.

 

Banks Deposit Mobilization Support (BDMS)

SGTC has been largely successful in providing this specialized service to banks and savings and loans companies. Since 1994, the total amount sourced directly and indirectly is N25.0billion approximately.

African Development Insurance Company(ADIC )

In 1993, SGTC acted as joint-issuing house with CENTRE-POINT MERCHANT BANK, Lagos to place class A Debentures of AFRICAN DEVELOPMENT INSURANCE COMPANY LTD (ADIC) valued at N30, 000,000 (Thirty Million Naira Only).

 

Nigerian Social Insurance Trust Fund(NSITF )

In 1994, SGTC acted as Stockbrokers for the NIGERIAN SOCIAL INSURANCE TRUST FUND (a Federal Government National Pension Institution) in its divestiture and sale of HAGEMEYER PLC shares to DUNLOP PLC. This transaction, valued at N155.0million, enabled the latter acquire a majority stake in HAGEMEYER PLC (now known as D.N MEYERPLC).

Blackstone Asset Management Trust (BAMT )

In 1996, SGTC acted as Financial Advisors and Stockbrokers to BLACKSTONE ASSET MANAGEMENT TRUST (a UK based emerging market fund, managed by Goldman Sachs International, London) in its acquisition of 75,500,000 shares or 6.3% of INTERNATIONAL MERCHANT BANK PLC: a leading financial institution and one of the oldest investment banks in Nigeria.

Manufacturers Merchant Bank(MMB )

In 2000, SGTC acted as joint-stockbrokers for the initial public offer of MANUFACTURERS MERCHANT BANK N400 million equity issue which was fully subscribed. After a successful completion of this public issue, MMB changed its name and operations to MannyBank Nigeria Plc and commercial banking respectively.

Business In Africa (BIA )

SGTC acted as Financial and Technical Advisers to BIA’s Conference Committees on Privatization & Commercialization in various African Countries. BUSINESS IN AFRICA Conferences provide excellent opportunities for the comprehensive articulation of the political, economic, financial, technical and social factors central to the successes and failures of privatization programmes in Africa. Recent annual conferences involved a significant number of African Government Officials, Chief Executives and Senior Officers of Multilateral and National Companies. Participants included the World Bank, International Monetary Fund, and the African Development Bank.

The Federal Government of Nigeria (FGN )

In November 2000, SGTC with its UK-based publishing affiliate, Business In AfricaInternational Magazine, jointly with the Federal Government of Nigeria, successfully hosted a well-attended 3-day International Pan-African Conference on Privatization of Heavy Utilities (Electricity, Telecommunications, Water Supply) in Abuja, Nigeria. Earlier in July 2000, SGTC again with Business in Africa International Magazine jointly hosted a quality capacity filled international conference on Banking and Finance. Commercial and Corporate Banking, Development Problems, Central Bank Regulations, Growth and Profitability, Capacity Building, Information and Communications Technology, Dynamic and Visionary Management, Quality of Products and Services, Investment Banking, Stockbroking, Portfolio Management, Trade Finance, Correspondent Banking, Research and Development, Project Finance and Management, Foreign Exchange and Cross Border Risk Management were some of the topics analyzed, evaluated and reviewed.

Nigerian Telecommunications Limited (NITEL )

In April 2002, SGTC and BGL initiated the formation of a consortium of five leading Investment Houses (Issuing Houses and Stockbrokers) for the specific purpose of providing a joint response to the Bureau of Public Enterprises REQUEST FOR PROPOSAL (RFP) on NITEL’s (the largest telecommunications company in sub-Sahara Africa) privatization. The BPE selected our consortium, having submitted the best possible TECHNICAL and FINANCIAL PROPOSALS. In June 2002, we were appointed STOCKBROKERS and FINANCIAL ADVISORS to the privatization of NITEL valued at US$1.2 billion.

African Growth and Opportunity Act (AGOA )

Since 1996, SGTC has served in several international committees on privatization of utilities, oil & gas, and infrastructure in Africa under the auspices of the African Business Roundtable (ABR), World Bank-IFC, ADB and BIA investment conferences. SGTC recently served as a Financial Advisor in the African Economic Advocacy Team in the USA for the realization of the African Growth and Opportunity Act (AGOA).

Since 2004, SGTC Plc has acted as Joint-Lead Stockbrokers to Bank’s Initial Public Offerings (IPOs) and Private Placements. These include:

  • First Atlantic Bank Plc Offer valued at N7.5 Billion
  • ACB International Bank Offer valued at N20.0 Billion
  • Citizens International Bank Limited Proposed Offer
  • Assurance Bank of Nigeria Limited Private Placement valued at N8.0 Billion
  • Fidelity Bank Plc Private Placement valued at N3.0 Billion
